Terms of Service
Last updated: September 7, 2026
These Terms of Service ("Terms") govern your access to and use of the SpreadVista platform, website, and services (collectively, the "Service") operated by SpreadVista ("we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms and by the Data Use Policy, which explains in plain language what you may do with the data we publish.
1. Eligibility and Accounts
You must be at least 18 years old and capable of forming a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate information during registration and to keep it current.
Public-market research on SpreadVista is free to use, with or without an account. An account is required only where the Service remembers something for you (watchlists, alerts, saved views, comp groups, digests). Any paid service is described, with its own terms, at the point where it is offered. We reserve the right to limit, suspend, or terminate accounts that breach these Terms.
2. Description of Service
SpreadVista provides analytics and data visualization tools built on publicly available regulatory disclosures, including but not limited to BDC portfolio holdings and credit fund holdings. The Service normalizes, cross-references, and analyzes this data using proprietary methods including entity resolution and claim resolution.
The Service is informational and analytical research. It does not provide individualized investment advice, does not recommend buying, selling or holding any security, does not publish target prices, and does not judge which manager's mark is correct.
3. Data Sources and Accuracy
Data displayed on SpreadVista is derived from primary regulatory disclosures filed with the U.S. Securities and Exchange Commission. While we strive for accuracy in our processing and normalization, we make no guarantees regarding the completeness, accuracy, or timeliness of the data. Source disclosures may contain errors, and our automated pipeline may not capture every data point correctly.
Every public observation carries its reporting period and provenance so you can check it against the source. Material corrections are published on the corrections ledger; you can report a data issue from the corrections ledger.
You should not make investment or financial decisions solely based on data from SpreadVista. Always verify critical data points against the original SEC filings and consult with qualified financial professionals.
4. Permitted Use
You may use the Service for research, signed in or not. In particular, you may:
- Read, search, compare and analyze any public page
- Calculate ratios, make charts, compare figures, and write research, commentary or presentations that use observations from the Service
- Cite figures and screenshots, with attribution and a link to the page they came from, in articles, research notes, presentations and academic work
- Link to any public page
- Use the small, manual exports a page offers for your own analysis
The analysis, commentary and conclusions you produce from publicly sourced facts are yours. The Data Use Policy gives practical guidance on attribution and on what counts as ordinary research.
5. Restricted Use
Research is open; wholesale extraction is not. You agree not to:
- Systematically extract, reconstruct or redistribute content from the Service in a way that reproduces or substitutes for all or a material portion of SpreadVista's proprietary structured dataset or data service — including bulk scraping, crawling entity pages to assemble a dataset, or rebuilding the served database from exports, pages or application responses
- Sell, sublicense, bundle or otherwise commercially redistribute a dataset that reproduces or substitutes for SpreadVista's structured data service, without a written licence
- Use systematic extraction or reconstruction of SpreadVista's proprietary structured layer to build or operate a competing data product or service
- Use undocumented application endpoints or headless browsers as an API, or collect content by automated means at scale outside documented API access (Section 7)
- Circumvent access controls, rate limits, or security measures
- Reverse engineer, decompile, or attempt to derive the source code or proprietary algorithms of the Service
- Share your account credentials with third parties or allow multiple individuals to use a single account
- Use the Service for any unlawful purpose or in violation of any applicable regulations, transmit malicious code, interfere with the Service, or compromise its security
Ordinary competitive research and commentary, and use of the publicly available underlying facts, are not restricted by this Section. Access controls and rate limits apply to all use of the Service and may be enforced independently of these Terms.
6. Intellectual Property and Data Rights
These Terms grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service subject to these Terms and the Data Use Policy.
The underlying regulatory filing content is publicly available through the U.S. Securities and Exchange Commission's EDGAR system. SpreadVista's proprietary work includes the processing, normalization, entity resolution, claim resolution, cross-vehicle connections, analytics and presentation built on those source disclosures. The Service's data pipeline, algorithms, user interface, analytical tools and structured dataset are owned by SpreadVista and protected by intellectual property laws. SpreadVista does not claim ownership of the filers' underlying facts or of the SEC filings themselves.
7. API Access
Programmatic access is offered only through the documented API under its own terms, quotas and rights. General API access is not yet open; join API access from the homepage to be notified. Undocumented application endpoints are not the public API, and their systematic use is restricted under Section 5.
8. Service Disclaimer
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. Coverage, update frequency and features may change; changes that matter to how figures should be read are recorded in the methodology and, where a served figure was wrong, on the corrections ledger. Nothing on the Service is investment advice: SpreadVista does not recommend securities, does not publish target prices, and does not judge whether any manager's mark is right. The methodology page describes how observations are extracted and cross-validated; it is not investment advice either.
9. Limitation of Liability
To the maximum extent permitted by law, SpreadVista and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of or inability to use the Service.
Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or $100, whichever is greater.
10. Indemnification
You agree to indemnify and hold harmless SpreadVista from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
11. Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information.
12. Modifications
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or in-app notice. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
13. Termination
Either party may terminate these Terms at any time. You may close your account by contacting us. We may suspend or terminate your access for violation of these Terms. Upon termination, your right to use the Service ceases immediately.
14. Governing Law
These Terms are governed by the laws of the State of New York, without regard to conflict of law provisions. Any disputes shall be resolved in the courts located in New York County, New York.
